Is the 390 Duke the same chassis, motor, suspension as the RC? A friend of mine is selling a 390 Duke cheap, but I'm not sure If I can make it a race bike. Anyone one know the differences other then the obvious.

At the very least the frame is different between the two - Duke does not have the integral (not bolt-on) tailpiece extension welded as part of the trellis that's integral with the RC 390/ RC Cup.

RC390 vs Duke 390
As Alan said, obviously the tail is different. It also looks like the radiator on the Duke is a bit smaller, the airbox is obviously totally different, and some electrical stuff has at least been moved around. But you can look up part numbers on bikebandit or something like that to find out exactly where the discrepancies are.
The steering head numbers are different on them. 65 on Duke and 66.5 on RC. I don't have the trail number on the Duke but I'm sure they are different.
Here are the numbers on the RC390.
